Outsourcing and Service Level Agreements
The firm provides legal and business input at all phases of the outsourcing lifecycle, from conducting due diligence investigations to determine the feasibility of outsourcing, to assisting the parties to implement the services and service levels negotiated. We are well acquainted with the philosophy of outsourcing and are able to bring this knowledge to bear on structuring and negotiating mutually beneficial outsourcing relationships.
We act on behalf of both large outsourcing vendors and clients and are thus well-acquainted with the business imperatives which face both parties.
The Outsourcing and Service Level Agreement Services we offer include:-
Advising clients on sourcing options available and drafting required agreements;
Conducting legal due diligence reviews to determine legal barriers to outsourcing;
Drafting of a wide range of Outsourcing Agreements, including IT (desktop support, LAN/WAN, Helpdesk, Web Hosting), Fleet, Facilities Management, Human Resources and others; and
Drafting of Business Relationship Agreements, Service Level Agreements (including detailed schedules) and Procedure Manuals for Outsourcing Agreements.
In addition, we regularly conduct workshops covering a wide range of topics from 1 to 3 days in duration to provide clients with a basic understanding of the contracting and outsourcing process, as well as certain issues relevant thereto.
